Terms of Service

Effective November 2, 2026

The short version: we build your website before you pay anything. If you want it, you subscribe monthly or yearly, and we host it, maintain it, and make minor edits for as long as you’re subscribed. Your domain and your content are always yours. You can cancel any time; payments already made aren’t refunded, and the site comes down when your subscription ends. The full terms below are what apply.

About these terms

These Terms of Service (“Terms”) are an agreement between you and Vale Digital (“Vale Digital,” “we,” “us”), a web design business based in Virginia. They apply to our website at valedigital.com and to the website subscription we provide (the “Service”).

“You” means the person or business that subscribes to or uses the Service. If you accept these Terms on behalf of a business, you confirm that you’re authorized to bind that business. By subscribing, paying for, or using the Service, you agree to these Terms.

Free website previews

We may design a preview website for your business before you’ve asked for one or paid anything. To build it, we use information that’s publicly available about your business, such as your name, address, hours, services, and photos from public listings.

  • Previews are free and come with no obligation. You owe nothing unless you choose a plan.
  • Previews are shared through a private link and aren’t published under your domain.
  • If you decline, or ask us to remove a preview at any time, we take it down.
  • Before launch, we’ll make reasonable changes you request to wording, photos, and details.

What’s included

Both plans include exactly the same Service. While your subscription is active, it includes:

  • Your tailored website. A custom website designed and built for your business.
  • Hosting. Fast, secure hosting on a global network, with an SSL certificate.
  • A custom domain name. We register a domain for you (for example, yourbusiness.com) and pay its renewal fees while you’re subscribed. If you already own a domain, we connect it instead, and you keep paying its renewal fees to your registrar.
  • Maintenance. Security updates, certificate renewals, uptime monitoring, and keeping your site working and displaying correctly on current browsers and devices.
  • Unlimited minor edits, as described in Minor edits.

Not included

Unless we agree otherwise in writing, the Service doesn’t include online stores or payment processing, booking or scheduling systems, customer portals or logins, new pages or sections, full redesigns, business email accounts, paid third-party tools or subscriptions, professional photography, or search-engine advertising. We don’t guarantee any particular search ranking, traffic, or business results.

Minor edits

A minor edit is a change to content that’s already on your site. Examples include:

  • Updating hours, prices, services, menus, or contact details
  • Swapping or adding photos you provide within an existing section
  • Editing or replacing text, staff listings, or announcements
  • Small adjustments within an existing section, like reordering items or fixing a typo

The following are not minor edits: new pages or sections, redesigns or changes to the overall layout or branding, new features or integrations, and moving large amounts of content from another site.

How edits work

Email edit requests to support@valedigital.com. Most edits are completed within two business days. Larger or bundled requests may take longer, and we’ll tell you if so.

There’s no fixed limit on minor edits, subject to fair use. If requests become so frequent or extensive that they amount to ongoing redesign or content management, we’ll talk with you about it first, and we may treat that work as additional work.

Additional work

If you want something outside the Service, such as extra pages or new sections, we’ll give you a clear written quote first. We won’t do or charge for additional work until you approve the quote.

Billing

The Service is offered on two plans. Prices are in U.S. dollars.

  • Monthly: $249 per month, billed monthly.
  • Annual: $149 per month, billed yearly as $1,788 for a 12-month term.

Your first charge happens when you choose a plan and we launch your site. After that, you’re billed in advance at the start of each billing period, on the same date each month or year. Subscriptions renew automatically at the end of each period until you cancel.

Payments are processed by Stripe, our third-party payment processor. By subscribing, you authorize us, through Stripe, to charge your payment method for each billing period until you cancel. We don’t store your full card or bank details. Prices don’t include any taxes that apply; you’re responsible for those.

Late or failed payments

If a payment fails, we’ll let you know and Stripe may retry it. If the payment still hasn’t gone through 7 days after the due date, we may pause your site until the balance is paid. Once you pay, we’ll restore it promptly.

If a balance stays unpaid for 30 days after the due date, we may end your subscription as described in After your subscription ends.

Refunds

Payments are non-refundable. We don’t give refunds or credits for a billing period that has already started, including partial months or the unused part of an annual term. The exception is if we end the Service without cause, as described in Cancellation.

Cancellation

You can cancel any time by emailing support@valedigital.com from the email address on your account. We’ll confirm in writing.

  • Monthly plans: Cancel before your next billing date to avoid being charged for the next month. Your site stays live until the end of the month you’ve paid for.
  • Annual plans: An annual plan is a 12-month commitment. You can cancel at any point during the term so that it won’t renew. Your site stays live until the end of the year you’ve paid for.

We may end the Service at any time with 30 days’ written notice. If we do this without cause, we’ll refund any prepaid fees for full months remaining after the end date.

We may suspend or end the Service immediately, without a refund, if you seriously or repeatedly break these Terms. That includes using the site for unlawful, fraudulent, infringing, or harmful content.

After your subscription ends

There’s no upfront build fee, so the website itself is part of the subscription. When your subscription ends:

  • We take your website offline and stop hosting and maintaining it.
  • Your domain stays yours. We’ll help transfer it to an account of your own at the same registrar. Transferring it to a different registrar, or pointing it to a new website, isn’t included in the Service. From then on, you’re responsible for its renewal fees.
  • If you ask within 30 days, we’ll send you a copy of the content you gave us, such as your text, logo, and photos. After 30 days, we permanently delete your site files.

Ownership: domains, content, and the site

Your domain

Domains we register for you are registered in your name or your business’s name, and you own them. While you’re subscribed, we manage the domain’s settings and pay its renewals. On request, we’ll help transfer the domain to an account of your own at the same registrar, subject to the registrar’s rules. Transferring it to a different registrar, or pointing it to another website, isn’t included in the Service; you’re free to do that yourself once it’s in your account. If you move your domain away or change its settings while subscribed, your site may stop working at that domain.

Your content

You own the content you provide or that identifies your business, including your business name, logo, photos, and written content. You give us permission to use, copy, edit, and display that content only to provide the Service. Before launch, we may use your publicly available business information to build your preview.

The website

We own the design, layouts, code, and other materials we create for the website, along with our tools, templates, and methods, except for your content. While your subscription is active and paid, we give you a non-exclusive, non-transferable right to use the website for your business. That right ends when your subscription ends. You may not copy, rehost, or resell the website’s design or code without our written permission.

Some materials on your site, such as licensed fonts, icons, or stock images, may belong to third parties and are used under their own licenses.

Our portfolio

We may show your website, your business name, and screenshots in our portfolio and marketing. If you’d rather we didn’t, email us and we’ll stop.

Your responsibilities

  • Give us accurate information about your business, and let us know when it changes.
  • Only provide content you have the right to use, and make sure it doesn’t infringe anyone else’s rights.
  • Don’t use the Service for anything unlawful, deceptive, or harmful.
  • Review your site and tell us about anything that’s wrong or out of date.
  • Keep your contact and payment details current.

You’re responsible for the accuracy and legality of the information about your business on your site, including prices, claims, and licensing details.

Your site’s visitors

If your website collects information from visitors, for example through a contact form, you’re responsible for how your business uses it and for any privacy notice your business needs. We handle that information only to operate your site, and as described in our Privacy Policy.

Availability and third parties

We work to keep your site fast, secure, and online, but we can’t guarantee it will never be interrupted. Downtime can happen because of maintenance, or because of outages at hosting providers, domain registrars, networks, or other third parties outside our control. We’re not responsible for interruptions caused by those third parties or by events beyond our reasonable control.

Disclaimers and limitation of liability

Except as stated in these Terms, the Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all other warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, we won’t be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities. Our total liability for any claim relating to the Service is limited to the amount you paid us in the three months before the event that gave rise to the claim.

Indemnification

You agree to defend and indemnify Vale Digital against claims, losses, and expenses, including reasonable legal fees, that arise from content you provide or from your breach of these Terms.

Changes to these terms or prices

We may update these Terms or our prices from time to time. If we make a material change, we’ll email you at least 30 days before it takes effect. Price changes take effect from your next billing period. Annual plans keep their price for the rest of the current term.

If you don’t agree to a change, you can cancel before it takes effect. If you keep using the Service after a change takes effect, you accept the updated Terms.

Governing law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Virginia, and both parties consent to those courts’ jurisdiction.

If any part of these Terms is found unenforceable, the rest stays in effect. These Terms, together with any written quote you approve, are the entire agreement between us about the Service.
